$AMSG's partner Michael Weinstein, MD of the Endoscopy Center of Washington D.C., was elected CEO for Capital Digestive Care by the BoD, effective April 1, 2017. Weinstein previously served as VP for Capital Digestive Care. Capital Digestive Care said Arnold Levy will retire as CEO on March 31, 2017.
Sheridan, the Physician Services division of $AMSG, further expanded its anesthesiology services business and entered the Southern California market with its acquisition of Ambulatory Anesthesia Associates and Genesis Anesthesia Services.
$EVHC and $AMSG announced that they have received notice that the Antitrust Division of the State of Florida Attorney General's office has closed its inquiry into the proposed merger between Envision & AMSURG and is taking no action. The transaction is subject to other customary closing conditions, including shareholders approval of both companies.
$EVHC and $AMSG said the waiting period with respect to the U.S. Federal Trade Commission review of the proposed merger of the two companies has got over. Separately, the companies have received a request for information from the Antitrust Division of the State of Florida Attorney General's office and both organizations are cooperating.
$AMSG said its Physician Services division Sheridan announced the acquisition of Resolute Anesthesia and Pain Solutions and South Lake Anesthesia Services, P.A. This further expands the company's anesthesiology services business in Florida, New Jersey and Missouri and establishes its initial presence in Illinois.
$AMSG said that its Physician Services division, Sheridan, announced the acquisition of AllegiantMD, Inc. and certain affiliated entities. AllegiantMD will join Sheridan's existing roster of over 300 Fellowship Trained, Board Certified radiologists, who cover 150 facilities across 22 states.
$AMSG and $EVHC expects the merger synergies to be $100MM, to be realized within 3 years of closing. Transaction is expected to add to both companies' combined adjusted EPS in 2017 and add to EPS by double-digit in 2018. Financing for the transaction has been provided by $JPM and Barclays. Transaction is expected to close by end 2016.
$EVHC CEO William Sanger will be Executive Chairman of the Board and $AMSG CEO Christopher Holden will be CEO of the combined company. $AMSG CFO Claire Gulmi will be combined company CFO; $EVHC CFO Randy Owen will be President of Ambulatory Services; and $AMSG Chief Development Officer Robert Coward will be President of Physician Services.
As per terms of merger, $EVHC shareholders will own about 53% and $AMSG shareholders will own 47% of the combined organization on a fully diluted basis. The deal has been approved by the BoD of both companies. Combined company will be named Envision Healthcare Corp. and the common stock is expected to trade on the NYSE under symbol EVHC.
Ambulatory services company $AMSG and medical services provider $EVHC announced that they have signed a merger agreement, as per which the companies will combine in an all-stock transaction at a ratio of 0.334 $AMSG shares per $EVHC share. Combined company will have a pro forma market cap of about $10Bil and enterprise value of about $15Bil.
Ambulatory and physician services provider $AMSG said its BoD has declared a quarterly dividend of $1.3125 per share for the companyâ??s 5.250% Mandatory Convertible Preferred Stock, Series A-1. The dividend is payable on July 1, 2016 to shareholders of record on June 15, 2016.
$AMSG, owner of ambulatory surgery centers, said its Physician Services division, Sheridan, has acquired North Florida Anesthesia Consultants, Inc. The group delivers both inpatient and outpatient anesthesia services to 18 facilities in Florida.
Ambulatory surgery center operator $AMSG said its BoD has declared a quarterly dividend of $1.3125 per share for the companyâ??s 5.250% Mandatory Convertible Preferred Stock, Series A-1. Dividend is payable on April 1, 2016 to shareholders of record on March 15, 2016.
$AMSG's Physician Services division, Sheridan, bought Northside Anesthesiology Consultants, or NAC, which marks Sheridanâ??s initial entry into anesthesia specialty in Atlanta, Georgia, market. NAC, which is provider of anesthesiology for Northside Hospital Healthcare System, has 60 physicians and employs 125 anesthetists and other personnel.
Sheridan, $AMSG's Physician Services division, said that it acquired Premier Emergency Medical Specialists (PEMS). PEMS provides emergency services for two Dignity Health hospitals in Phoenix; Chandler Regional Medical Center and Mercy Gilbert Medical Center.
